Welcome to SHSAT Buddy. These Terms of Service (the “Terms”) govern your use of the SHSAT Buddy offerings (including the free diagnostic test, one-time purchase practice tests, or subscription plans) (the “Services”) and the related services provided by SHSAT Buddy LLC (“we,” “us,” or “our”). By signing up for access to the Services and allowing your child to use the Services, you, as the parent or legal guardian (“you” or “Parent”), agree to these Terms.

1. Acceptance of Terms

By using the Services, you confirm that you are of legal age to enter into these Terms or have obtained the consent of a parent or legal guardian if you are between the ages of 12 and 17, and you agree to be bound by these Terms. If you are a parent or legal guardian agreeing to these Terms on behalf of your child who is between the ages of 12 and 17, you represent and warrant that you have the authority to do so and that you agree to be responsible for your child’s use of the Services in accordance with these Terms. Given that the target audience for the Services includes children aged 12-17, it is essential that Parents review and agree to these Terms before allowing their children within this age range to use the Services.

2. One-Time Purchases, Subscription and Account Registration

  • One-Time Purchases: Certain offerings such as full-length SHSAT practice tests may be purchased on a one-time basis. By purchasing a one-time offering, you agree to these Terms with respect to access to that offering, including payment and content use provisions.
  • Subscription: Access to the daily quizzes requires a paid subscription purchased by the Parent. The details of the subscription plans, including pricing and billing cycles, are available on our website.
  • Account Creation by Parent: Parents must create an account on our website to manage their subscription and add student profiles. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Authorized Account Creators: Accounts for users under 18 may only be created by a parent or legal guardian. By creating an account, you represent and warrant that you are the parent or legal guardian of the child(ren) you register, and that you have the authority to provide consent on their behalf. SHSAT Buddy reserves the right to suspend or delete any account created by third parties without such authority.
  • Student Profiles: Through your Parent account, you can create profiles for your student(s) who will use the Services. You are responsible for all activity that occurs under your student’s profile.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access or use of your account.

3. Use of the Services

  • License: Subject to your compliance with these Terms and your payment of the applicable practice tests or subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your child’s personal, non-commercial educational purposes, specifically to participate in these practice tests or educational quizzes.
  • Acceptable Use: You agree that you will not, and will not allow your child to:
    • Use the Services in any way that violates any applicable law or regulation.
    • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.
    • Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
    • Collect or harvest any personally identifiable information, including account names, from the Services.
    • Impersonate another person or misrepresent your affiliation with any person or entity.
    • Upload or transmit any viruses, worms, or other malicious code.
    • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services.
  • Content: The educational practice tests and quiz questions within the Services are owned by or licensed to us and are protected by copyright and other intellectual property laws. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content obtained from the Services without our express written permission.
  • Access Rights: Subscription access allows use of daily quizzes and features tied to the subscription plan. One-time purchases grant access only to the specific digital practice tests purchased. All access rights terminate upon expiration, cancellation, or per violations of these Terms.

4. Payment and Subscription Management

  • Free Diagnostic Test: Access to the free diagnostic test does not require payment. By accessing the free diagnostic, you agree that certain basic personal information may be collected to deliver results, consistent with our Privacy Policy.
  • One-Time Purchases: If you purchase access to a SHSAT practice test or other one-time digital content, you agree to pay the purchase price in U.S. dollars at checkout. One-time purchases are not subscriptions and do not automatically renew. Except as required by law, all purchases are non-refundable after access is provided.
  • Subscription Fees: You agree to pay the subscription fees as outlined in your chosen plan. All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms or as required by law.
  • Billing: Subscription fees will be billed to your chosen payment method on a recurring basis (e.g., monthly or annually) until you cancel your subscription.
  • Payment Methods: We accept various payment methods as indicated on our website. You represent and warrant that you have the right to use the payment method you provide.
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.
  • Cancellation: You can cancel your subscription through your account management portal on our website. Cancellation will be effective at the end of the current billing cycle. You will not receive a refund for any unused portion of your subscription.
  • Changes to Fees: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any such changes. Your continued use of the Services after the fee change becomes effective constitutes your agreement to pay the new fee.

5. Privacy

Your privacy and the privacy of your children are important to us. Please review our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, and disclose information in connection with the Services.

6. Termination

We may terminate or suspend your access to the Services at any time, with or without cause and without prior notice, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease. You will not be entitled to a refund for any unused portion of your practice tests or subscription.

7. Service Termination and Data Retention

In the event that SHSAT Buddy ceases operations or discontinues the Services, we will provide at least 30 days’ notice to the Parent’s registered email address. During this period, Parents may access and download their child’s data. After this notice period, all user data, including student profiles and quiz history, will be permanently deleted from our servers, except as required by law.

8. Disclaimer of Warranties

THE SERVICES IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Please remember that SHSAT Buddy is a supplementary educational tool intended to support SHSAT preparation. It does not guarantee admission to specialized high schools. Any progress information provided is based on your child’s activity on the platform and should be considered alongside other preparation methods. We do not warrant any specific score improvements or admission outcomes based on the use of the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHSAT BUDDY LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SUBSCRIPTION IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless SHSAT Buddy LLC and its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms or your or your child’s use of the Services.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiation and, if necessary, through mediation in Brooklyn, New York. If the dispute is not resolved through negotiation or mediation within ninety (90) days of the commencement of such process, then any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Brooklyn, New York, and you irrevocably submit to the jurisdiction of such courts.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes, such as by posting the updated Terms on our website or within the parent web app. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

14. Entire Agreement and Severability

These Terms constitute the entire agreement between you and SHSAT Buddy LLC regarding the Services. If any provision of these Terms is found to be unenforceable or invalid under any applicable law, that provision will be limited or eliminated to the minimum extent necessary, so that the remaining Terms will otherwise remain in full force and effect and enforceable.
